These Official Terms & Conditions govern your access to and use of the Ubuntu StratEdge platform and services. By engaging with our services, you agree to be bound by the stipulations outlined below. "Service" refers collectively to the consulting, advisory, and technological implementations provided by Ubuntu StratEdge.

1. About Ubuntu StratEdge

Ubuntu StratEdge is a Canadian AI Strategy, Governance, and Digital Transformation consultancy that helps organizations responsibly adopt Artificial Intelligence through executive advisory, governance frameworks, implementation strategies, training, and enterprise transformation services.

2. Acceptance of Terms

By accessing our website, downloading materials, booking consultations, purchasing services, or otherwise interacting with Ubuntu StratEdge, you acknowledge that you have read, understood, and agree to comply with these Terms.

If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Specific services will be governed by separate proposals, statements of work, or service agreements where applicable.

4. No Guarantee of Results

While we use industry best practices and extensive expertise, we cannot guarantee specific business outcomes, financial results, operational improvements, regulatory approvals, or AI implementation success.

Results depend on many factors including:

  • Organizational readiness

  • Leadership commitment

  • Available resources

  • Existing infrastructure

  • Regulatory requirements

  • Technology adoption

  • Market conditions

Any examples, case studies, or projected outcomes presented on our website are illustrative only.

5. Professional Advice

Our services are provided for strategic and educational purposes. Unless expressly agreed in writing, Ubuntu StratEdge does not provide:

  • Legal advice

  • Financial advice

  • Accounting advice

  • Investment advice

  • Tax advice

  • Cybersecurity certification

  • Regulatory certification

Clients should seek independent professional advice where appropriate.

6. Client Responsibilities

Clients are responsible for providing complete, accurate, and timely information necessary for the successful delivery of consulting services.

Clients agree to cooperate throughout engagements by providing access to relevant stakeholders, documentation, systems, and information where required.

Failure to provide requested information may affect project timelines, recommendations, or deliverables, and Ubuntu StratEdge shall not be liable for delays arising from incomplete or inaccurate client information.

7. Artificial Intelligence Services

Ubuntu StratEdge assists organizations in planning, governing, implementing, and optimizing AI technologies. While we apply recognized best practices and governance principles, artificial intelligence systems continue to evolve and may produce unexpected or inaccurate outputs. Clients remain responsible for reviewing, validating, and approving AI-generated content, decisions, recommendations, and automated processes before implementation.

Ubuntu StratEdge does not guarantee that AI systems will be error-free, unbiased, continuously available, or suitable for every business environment.

Human oversight should always remain part of critical business decision-making processes.

8. Responsible AI

Ubuntu StratEdge is committed to promoting responsible, transparent, ethical, and accountable use of Artificial Intelligence.

Our recommendations are guided by principles including fairness, explainability, transparency, human oversight, privacy, security, accountability, and risk management.

Clients acknowledge that responsible AI requires ongoing governance and continuous monitoring beyond the conclusion of any consulting engagement.

9. Fees and Payment

Fees for consulting services, workshops, training programs, subscriptions, and advisory engagements are outlined in proposals, quotations, invoices, or written agreements. Unless otherwise agreed, invoices are payable according to the payment terms stated on the invoice.

Late payments may result in suspension of services until outstanding balances have been settled.

Ubuntu StratEdge reserves the right to recover reasonable collection costs where permitted by law.

10. Confidentiality

Ubuntu StratEdge recognizes that consulting engagements often involve access to confidential business information.

Both parties agree to maintain the confidentiality of proprietary information disclosed during engagements and to use such information solely for the purposes of delivering agreed services.

Confidentiality obligations shall not apply to information that:

  • Is publicly available.

  • Was lawfully known prior to disclosure.

  • Is independently developed.

  • Must be disclosed under applicable law or court order.

Separate Non-Disclosure Agreements (NDAs) may apply where appropriate.

11. Privacy

Ubuntu StratEdge respects your privacy and handles personal information in accordance with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA), where applicable, and our Privacy Policy.

By using our website and services, you consent to the collection, use, storage, and disclosure of your information as described in our Privacy Policy.

12. Third-Party Services

Our website and consulting engagements may involve recommendations or integrations with third-party technologies, cloud platforms, AI providers, software vendors, or external service providers.

Ubuntu StratEdge is not responsible for the availability, performance, security, privacy practices, or functionality of third-party products or services.

Clients should review the terms and privacy policies of any third-party providers independently before use.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Ubuntu StratEdge shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from the use of our website, consulting services, recommendations, AI implementations, or related materials.

Our total liability arising out of any engagement shall not exceed the amount actually paid by the client for the specific services giving rise to the claim.

Nothing in these Terms excludes liability where such exclusion is prohibited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Ubuntu StratEdge, its directors, employees, consultants, contractors, affiliates, and partners from any claims, liabilities, damages, losses, expenses, or legal costs arising from your misuse of our services, breach of these Terms, infringement of third-party rights, or unlawful conduct.

15. Website Availability

We strive to maintain continuous access to our website and digital resources; however, we do not guarantee uninterrupted availability. Maintenance, software updates, technical issues, cybersecurity incidents, or events beyond our reasonable control may temporarily affect access.

Ubuntu StratEdge reserves the right to modify, suspend, or discontinue any part of the website or services without prior notice.

16. Termination

Ubuntu StratEdge reserves the right to suspend or terminate access to our website or services where users violate these Terms, misuse our services, engage in unlawful conduct, or compromise the security or integrity of our systems.

Termination shall not affect obligations that, by their nature, survive termination, including confidentiality, intellectual property, payment obligations, and limitations of liability.

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of British Columbia, Canada, and the applicable federal laws of Canada, without regard to conflict of law principles.

Any disputes arising from these Terms or the use of our services shall be subject to the exclusive jurisdiction of the courts located in British Columbia, unless otherwise required by applicable law.
